1.1 Origins

TEAM Engineering S.p.A. is part of the TEAM Group. TEAM Group, through equity participation in local engineering companies, established in different parts of the world, provides the full range of engineering, architecture, planning and management consultancy services, with particular experience in transport infrastructure projects. The Group's development began in 1975 with the establishment of T.E.A.M. (Technics Engineering Architecture Marketing), to which TEAM Engineering, a company specifically entrusted with the technical execution of designs and studies in the various sectors of engineering, architecture and planning, followed in 1977.

1.2 Internationalization of the Group

Since its foundation, the Group has set up other companies, always operating in the field of engineering, in order to provide appropriate support to the progressive development of the activities being handled, both in respect of the geographical areas and specific sectors. The rapid growth in volume of projects handled in Nigeria brought about the establishment in 1983 of T.E.A.M. (Nigeria) Ltd, oriented mainly towards Project Management activities and later providing technical execution, management and co-

  • rdination of the projects acquired in the Country. In fact, the first project

undertaken (Kano Cold Store, executed on a turn-key basis) dates back to 1974, when the Group was operating through a locally incorporated company, namely I.C.A. (International Contractors Agency). In 1988, a new branch, TEAM Guinée Sarl, was established in Guinea (Conakry) where a number of civil engineering projects had been acquired. In correspondence with development of the Central-Eastern European countries and to their opening to the market economy, TEAM Poland was set up in Warsaw in January 1995 for the supervision and coordination of operations within Poland and in neighbouring countries (particularly Czech Republic and Hungary). In 2006 following the remarkable economic development registered in Equatorial Guinea, TEAM G.E. S.A. was set up in Malabo and Bata, followed by SINGE S.A. Finally, in 2012 AYA Engineering was set up in Accra (Ghana) and afterward TEAM UGANDA Ltd in Kampala (Uganda) to follow operations in these Countries. All these companies form the TEAM Group, and work as an organic and integrated

  • perative system, each with its specific functions and mission. The Companies

assure the implementation and technical management of services that include, among others, technical, financial and managerial assistance to Clients during tendering and contract negotiation processes, complete works supervision services and local co-ordination of projects in their respective countries.

2.1 General

Worldwide Experience Since its foundation, in 1977, TEAM has become more and more specialised, particularly in the study and design of transport infrastructures and specifically in the railway sector, where It has in fact participated, singularly or as a consortium, in the planning, design and works supervision of a number of major international projects, totalling over 20,000 Km of railway infrastructures. Master Planning at a regional and Urban level has also represented a major activity in fast- developing countries, in particular in Africa (Nigeria and Equatorial Guinea). In Italy, TEAM has been active on major Railway and Metro projects for over 30 years working, among others, the Italian High Speed Railway Programme (Rome- Florence, Rome-Naples, Genoa-Milan, Verona-Venice), the Domodossola International Marshalling Yard (at the Italian-Swiss border) and the Palermo- Punta Raisi link in Sicily, Rome’s new Metro Line “C” (in J.V. with Gibb, UK and Geoconsult, Austria), the modernization of the Flaminio underground station, the urban terminus of the Rome-Viterbo rail line, the preliminary design of several stations for the Palermo metro line and, most recently, the executive design of the extension “Piscinola-Capodichino" of the Naples Metro Line (station architecture and technical installations). In Europe, TEAM Engineering has carried out important projects for the rehabilitation and modernization of transport and railway corridors such as the Study for the Development of Railway and Combined Transport on International TransEuropean Axes in Central and Eastern Europe, or the modernization of major rail lines in Poland and Croatia. As for territorial planning, it is worth mentioning the study for the Tourism Development Plan of the city of Czestochowa, a major pilgrimage centre in Poland where the proposed guidelines have been integrated in the city Master Plan. In Asia & the Middle East, mention can be made to the “Planning and Development of Seaside Tourism Areas and Site in Yemen” and the new Metro Line 2 of Shiraz in Iran and subsequent Lines 3-4-5-6 and the most recent Works Supervision for the Zhengzhkou-Zhoukou-Fyuang High Speed Railway Line (Anhui section) in China. Major structures designed include the new cable-stayed bridge in Basra (total length of 761m) and the proposal for new suspension Bridge

  • ver Tigris river in Baghdad (main span of 600m), both in Iraq.

In Africa TEAM Engineering has carried out major works and studies in the transport sector. In Ghana, TEAM is active since 2002 with Building and Infrastructure projects (Proposals for Transport Development Plan, Preliminary studies for President Flag Staff House) and various proposals and technical assistance to the Ministry of Transport, which have positively lead to the award of the Ghana Railway Master Plan (2011 - delivered in 2013, Client: Ghana Railway Development Authority, over 4,000 km of railway lines spanning the length and breadth of the country). Activities in Ghana include Front End Engineering Design, Final Design, Design Vetting and Works Supervision for Lines such as the Western Line (330km) and the Takoradi-Kojokrom-Sekondi as well as the Feasibility Study for the Light Rail System in Greater Accra Region. Worth to be mentioned the Vetting of the Design and Construction Supervision of the Tema – Akosombo Railway Line Infrastructure (84 km approx.) and the Final Design and Works Supervision of the Second segment of the Western Railway Line between the cities of Kojokrom and Tarkwa (55 km approx.) in 2017. In Nigeria, in particular (where TEAM has been present since the seventies), TEAM’s activities range over a vast variety of engineering and architectural projects, from the participation in the Master Plan of the New Federal Capital, Abuja, to the preparation of the Urban Development Plan (including the design of the road and services networks) of a new satellite town (Gwagwalada); the design of approx. 700 km of trunk roads (thirteen road sections in four states of the Nigerian

Federation) and approx. 2,500 km of railways (over 11,000 km if various stage of design from feasibility to final and design vetting are considered). Among these it is worth noting the new Itakpe-Ajaokuta-Warri (330 km) railway system (part of the Central Line) and extensions to Baro (145 km) and Otukpo (205 km); the new links Kano-Katsina (175 km) and Kaura Namoda-Sokoto (210 km); the major railway Bridge over River Niger at Ajaokuta (2,175m). TEAM is currently executing the Design Vetting and Works Supervision of the Lagos – Ibadan new Standard Gauge railway, second section (157 km) of the of the Lagos – Kano new project. The latest major project currently in execution in Nigeria is the design vetting and works supervision of the new rail link Lagos-Kano via Abuja for a total length of 1315 km. In the road section, worthy of mention is the important stretch of urban road, the Inner Southern Expressway (ISEX) in the Federal Capital Abuja. Finally, the two major road long-span bridges at Patani (849m) and Kaiama (700m) in the River Niger Delta, within the project of dualization of the Warri-Port Harcourt main southern connection. In Equatorial Guinea, TEAM is active since 2005 and has successfully executed a vast range of important projects in the context of the extensive development programme that the Government has launched for major infrastructures. TEAM’s activities in the country range from preliminary to final design, design vetting, work supervision and contractual assistance to the Client. Among the most significant projects are the New Terminal of the International Malabo Airport, the Bata- Mongomo Highway (Lot 2 - Ayak Ntang - Mongomo, 110km), the Malabo-Luba Highway (50 km), the Akurenam-Minang Road (104km), the Bata Ring Road (18 Km), the reclamation and canalisation works for the rivers Kie, Consul and San Nicolas, the new road bridge over the River Utonde (with 70-110- 70m spans) and the important urbanisation projects in Mongomo, Mengomeyene and Barrio Paraiso in Malabo. Finally, still in Equatorial Guinea, the Tourist Development Plan of the Island of Corisco. The presence of TEAM stretches to many other African countries where it has been involved in the execution of numerous projects: Cameroun: Edea-Kribi (120 Km) and Douala-Limbè (80 Km) railway lines Feasibility Study and preliminary design; Malawi: Mchinji-Nkaya Railway Line (385 Km) Feasibility Study; Zambia: Livingstone-Kazungula-Sesheke (202 Km) - Nseluka-Mpulungu (187 Km) Railway Lines Feasibility Study, Preliminary & Final Design and Chipata via Petauke to Serenje Railway Line Design Review and Construction Supervision; Congo: Kinkala-Mindouli road (59 Km) Feasibility Study; Republic of Guinea (Conakry); TEAM supported relevant Ministries for major transport projects, such as the Kankan-N’Zérékoré-Yomou National Road N° 1 (425 km), the transformation

As the main technical entity of the Group, TEAM Engineering supports all the other companies, whenever necessary, allowing them to tackle a wide range of projects in the engineering field in general. It has a dynamic and efficient organization management structure, which controls and identifies possible problems at all levels and, therefore, can decide and apply remedies very quickly.

2.3 Staff

TEAM Group staff is composed of over 120 professionals, of which 100 Technical staff and Management and 20 administrative and clerical staff among which are: Engineers, Architects and Urban Planners, CAD specialists, Geologists, Topographers, Economists, Financial Analysts and Accountants, Management Experts, Surveyors, Draftsmen with logistics and supporting staff, totalling well over 200. Moreover, TEAM Engineering can rely on the collaboration of a wide range of highly qualified specialists/consultants from the University and/or specific industrial

  • fields. This allows projects to be tackled from a 360 degree angle and developed to

a high degree of detail.

2.4 Design Control System and Quality Assurance

In 2004, TEAM Engineering S.p.A. obtained the Quality Assurance Certificate from the Bureau Veritas Italia certifying board, for compliance with the standards of ISO 9001.

TEAM has set up a Quality Management System (QMS) specifically suited for its activities in order to:

  • satisfy Client expectations;
  • achieve efficient business management, in order to remunerate the capital

invested;

  • satisfy the needs of Company personnel;
  • implement a policy of mutual satisfaction with suppliers;
  • respect laws, rules and regulations in order to demonstrate the ethical and

professional behaviour of the company. In particular, TEAM has identified and defined the following internal macro processes:

  • Pre-qualifications, tenders and bids;
  • Planning of contracts acquired;
  • Start up, development, management and control of the contracts;
  • Post-delivery assistance.

SEQUENCE OF INTERNAL MACRO PROCESSES IN TEAM Engineering The Company supplies financial resources, personnel and the necessary equipment for the management of the system as a whole and carries out the activity necessary to achieve the planned objectives and the continuous improvement of these identified processes. For its design and service activity, when required (e.g.: very specialistic technical services) the Company may use outsourcing. In these cases, the professionals are identified on the basis of defined criteria, and control over their actions is foreseen to ensure uniformity with internal quality standards.

2.5 Certificate of Registration of Patent

2.7 Logistics

All the offices of the Group are fully equipped with the necessary facilities to handle directly the projects entrusted to them by the local authorities. In Nigeria, in particular, the headquarters of T.E.A.M. (Nigeria) Ltd is in Abuja. In addition, Railway Project Offices have been installed in: Ø Agbor, where T.E.A.M. is supervising the greatest railway achievement in the past 25 years in Nigeria, i.e. the standard gauge project of the Itakpe- Ajaokuta-Warri system (which presently extends to about 320 km, but will eventually reach Jakura-Baro and Otukpo with its final extension of almost 700 km). This project has been designed by TEAM Engineering and implemented as a fast-track design-construction process with J. Berger (a subsidiary of Bilfinger+Berger of Germany) as Contractor. Ø Idu (Abuja), the principal Site from where TEAM has executed the Design Vetting and Works Supervision of the Idu-Kaduna new Standard Gauge railway commissioned in 2016, first section (186 km) of the Lagos – Kano new project being constructed by CCECC, the major Chinese company. Ø Lagos, the Site from where TEAM is currently executing the Design Vetting and Works Supervision of the Lagos – Ibadan new Standard Gauge railway, second section (157 km) of the of the Lagos – Kano new project.

Alifana Inferiore Railway Piscinola–Capodichino Metro Line Extension (Italy) Final design of stations, civil works and technical plant installations

  • f the heavy metro line for simultaneous operation of trains from Alifana

railway and Naples Line 1 underground. Total length 3.3km. Preliminary Technical Study for the New Bata-Ebibeyin Motorway (Equatorial Guinea) Preliminary Technical Study of the new West-East motorway connecting the port of Bata with the eastern border. It is a dual carriage motorway with a total length of 192 km. Nigerian Railway Modernization Project, Lagos-Kano via Minna- Abuja-Kaduna Line (Nigeria) Design vetting and works supervision of the new double track, standard gauge South-North rail line linking also the capital Abuja, for a total length of 1315 km. New Metro Line 2 in Shiraz (Iran). Engineering Studies, functional design and Consultancy for the development of this 14 km long, double track metro line, including 13 No. Stations, of which 12 are underground Patani Bridge over River Forcados in the Niger Delta (Nigeria). Long- span road bridge (849m total length, 95m spans). Technical assistance to the Contractor, including design of temporary items and erection details. Assistance to Works Supervision Planning and Engineering Consultancy Services for the Preparation of the Railway Master Plan of Ghana. Study of traffic demand, Socio- Economic Study, Environmental Impact Study, Financial Analysis, Preparation of Work Development Plans and analysis of PPP options. Identification of preliminary specifications and standards. Analysis of possible application to urban transport policies for selected major cities.
