Treasurer, Beth Farbacher

› Account Balance $59,383.19 as of April 30, 2019. › Through April 2019, we have a new cash increase of $332. › Estimated expenses for remainder of school year are $9,300, leaving

a cash balance of approximately $50,100 by year end. This does not include FY 19-20 revenues collected before 7/1/19. I had projected to have a little bit more, but did not realize that we had to renew the Charms subscription for $1,095. This was not in the 2018 – 2019 budget.

› For the year, fundraising income was almost $16,000 below budget

for the reasons we have discussed throughout the year. Net

  • perating income and expense is projected to be $7,000 under

budget leaving an overall shortfall against budget of $9,000.

ARTICLE I – ORGANIZATION NAME AND GOVERNANCE The name of this organization shall be the Pine-Richland Band Boosters (hereafter called PRBB). This organization shall be operated as a nonprofit, non-commercial, non-sectarian and non-partisan volunteer organization. PRBB is a member of the Pine-Richland Unified Booster Organization (PRUBO). PRUBO is the central
  • rganization which holds our non-profit group exemption under IRS 501 (c) section.
Notwithstanding any other provision of these By-Laws, the Organization shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or (b) by a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code. ARTICLE II – MISSION As a non-profit, 501(c) organization, the mission of the PRBB is:
  • To positively support the PR band students and band staff in their endeavor to create excellence
in music, performance and educational experiences.
  • To support the Pine Richland School District (PRSD) High School band (hereafter called PR
band) financially and assist in fundraising.
  • To promote positive publicity and community relations that enhances the reputation and interest
in the PR band.
  • To build and maintain an organization of adults which will assist with the general activities of the
PR band as set forth by the band staff.
  • To assist the band staff in obtaining equipment, volunteer manpower, and resources for the band
program.
  • The PRBB shall in no way control, direct or set policy as to the curriculum, instruction, philosophy,
staffing or direction of the PR band program. ARTICLE III – MEMBERSHIP Membership in the PRBB is granted to any parent and/or guardian of students participating in the PR
  • band. PR band includes Instrumentalists, Dance Team and Color Guard. Staff members of the PR band
are considered ex-officio members.
  • All grievances or disputes shall be brought forth to the officers, band staff and or general
membership for discussion and resolution.
  • Infractions of the purpose statement (Article II) shall result in membership termination.
ARTICLE IV – OFFICERS, TERM, ELECTION Section 1. Officers: The officers of the PRBB shall consist of President, Vice-President, Secretary, and
  • Treasurer. Co-officers may be elected or nominated if needed to fill any vacancy.
Section 2. Term and Election: The officers of the PRBB shall serve a term of at least one year. Two weeks prior to the February meeting, all interested candidates for the PRBB positions of office must make their intentions known in writing to the nominating committee. If more than one candidate has come forward, an election will be held at the March meeting. Section 3. Nominating committee: At the regular January meeting, a nominating committee of three (3) members from the general membership shall be named by the membership as well as one PR band staff member. Section 4. A slate of officers shall be constructed and presented to the membership at the regular February meeting. Existing officers will be considered candidates for their current positions unless they resign or are seeking another office within the organization. Section 5. Elections shall be held at the regular March meeting. The election shall be by ballot. If there is only one candidate for any office, the ballot for that office may be dispensed with and the election held by voice vote and the entire slate presented as one vote. Section 6. Elected officers will be installed at the regular April meeting and will work with the outgoing
  • fficers for a smooth transition of duties by May 1st.
Section 7. If a vacancy occurs in the office of president, the Vice-President shall assume the presidency for the remainder of the term. Any other elected officer’s position that becomes vacant shall be filled by a special election that will be held after a minimum of two weeks notification. Section 8. Each officer, upon the expiration of his/her term of office or in case of resignation, shall turn
  • ver to his/her successor, without delay, all records, books, and other material pertaining to the office;
and he/she shall return to the treasurer, without delay, all funds pertaining to his/her office. ARTICLE V – OFFICER DUTIES Section 1. The President shall:
  • Supervise all activities of the PRBB.
  • Develop an agenda with the officers.
  • Call meetings as provided by these Bylaws.
  • Preside at all meetings of the PRBB.
  • Act as liaison among the PRBB, PRSD administration, and other PR booster organizations.
  • Create any special committees deemed necessary to fulfill the objectives of the PRBB.
  • Have signature authority with the Treasurer for payments of monies from the treasury.
  • Maintain the band booster and student database.
  • Assist the band staff with planning and coordinating activities for the band students.
  • Oversee all fundraising.
  • Serve as the band booster representative on the Booster Member Council of the PRUBO.
Section 2. The Vice-President shall:
  • Assist the President with his/her duties.
Section 3. The Secretary shall:
  • Keep an accurate written record of the proceedings of all meetings of the PRBB.
  • Post minutes of regular meetings on the PR Band website.
  • Be prepared to refer to minutes of previous meetings and ensure minutes are presented for
approval at the next regular meeting.
  • Keep a copy of the bylaws and post a copy on the PRBB website.
  • Provide official correspondence on behalf of the PRBB.
Section 4. The Treasurer shall:
  • Prepare a proposed budget (in collaboration with the PRBB officers) to be presented to the PRBB
for approval of the membership at the first meeting of the school year.
  • Be responsible for the maintenance of the PRBB general fund.

  • Be responsible for collecting all money, writing checks, issuing receipts, and depositing funds into
the PRBB account(s). The Treasurer shall sign all checks and shall secure a second signature
  • n all checks from either the President or the Vice-President.
  • Keep a ledger and make a report to the membership at each meeting.
  • Submit Financial Data to the Pine-Richland Unified Booster Organization (PRUBO) by the
deadlines established by PRUBO. This includes a copy of the booster group yearly audit report, a copy of submitted yearly tax return, and a signed authorization by the President to be a member
  • f PRUBO.
Section 5. Conflict of Interest No Board member may vote upon a matter in which he or she has a direct financial interest or conflict of interest. No Board member may vote upon a matter in which he or she has a business
  • r family relationship not common to all members. Immediately upon becoming aware that such a
conflict exists, a Board member must disclose such, withdraw from further deliberation, and refrain from voting on the matter. ARTICLE VI - MEETINGS Membership meetings will be held monthly as deemed necessary by the officers. A minimum of six meetings per year will be planned. The specific meeting time and location shall be determined by the President in coordination with the school calendar and availability of dates and meeting locations. The meeting time and location will be made available to members on the PR Band website.
  • Meetings will be presided over by the President and follow an agenda developed by the officers.
  • New and extraordinary actions to be adopted will be brought to the membership for a vote of
approval.
  • Actions to be adopted require a majority vote of the quorum (50% plus 1). A Quorum for the
general membership shall consist of the members present at each meeting.
  • A special meeting will be held in May for the purpose of welcoming new members.
  • Special meetings may be called by the President.
ARTICLE VII – STANDING COMMITTEES There shall be such standing committees created by the Officers in conjunction with the PR band staff as may be required to carry on the work of the organization.
  • Chairpersons will be selected by the current officers based upon interest and the ability to
perform the task.
  • Interested candidates should communicate their intent to the officers.
  • The term of office for chairpersons of these committees shall be at least one year, or until a
successor is appointed or they resign.
  • Each chairperson, upon the expiration of his/her term of office or in case of resignation, shall turn
  • ver to his/her successor, without delay, all records, books, and other material pertaining to the
  • ffice; and he/she shall return to the treasurer, without delay, all funds pertaining to his/her office.
  • The officers shall strive to have all committees in place before the start of Band Camp.
ARTICLE VIII – FINANCIALS Section 1. Fiscal Year
  • The annual accounting period and fiscal year shall begin on July 1st and end June 30th.

(D&O) for personal injury, medical expenses, property damage, and products. Minimum limits of liability shall be $1,000,000 per occurrence and $2,000,000 aggregate.
  • PRBB may acquire additional D&O insurance coverage

Section 3. Check Signature Authority
  • All checks shall be signed by two Officers of PRBB: The Treasurer, and either the President or
the Vice-President. Section 4. Fiscal Planning
  • The Officers shall present a proposed budget for approval at the first membership meeting of the
fiscal year. The members may review the proposed budget and shall adopt a final budget by a majority vote of the members in attendance.
  • Any expenses in excess of $2,000 over the approved budget or not appearing in the budget must
be approved by a vote of the members at a regular meeting.
  • A minimum of $10,000 shall be held for operating capital at the end of each fiscal year, excluding
registration and other income collected in advance for the next fiscal year. Section 5. Audits
  • By September 15 of each fiscal year, an audit of the PRBB financials shall be conducted by either
an independent auditor not affiliated with the PRBB or by a committee of three PRBB members who are not members of the PRBB board. The results of the audit will be presented as required by PRSD Booster Policy 915 and will be presented to the PRBB at the first meeting after the completion of the audit. ARTICLE IX – AMENDMENTS Amendments to the Bylaws shall occur by a majority vote of the membership in attendance at any regular meeting provided that notice of the proposed amendment has been given at the previous meeting and is available to the membership for review within 14 days prior to vote. ARTICLE XI – DISSOLUTION If in the event the purposes of the PRBB are not being followed and the PRBB become a deterrent to the success of the band program, the PRBB will be dissolved. The band staff will make a dissolution decision after meeting with the PRBB officers and the PRHS administration. In the event that the PRBB should be dissolved for any reason, all inventory and money shall be distributed for one or more exempt purposes within the meaning of section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code to the PRSD, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
