  5. Secondary buy out of CSL Dualcom CSL has grown significantly in recent years to become the UK market leader for new connections of dual signalling devices. CSL pioneered dual signalling technology and developed a smart telecommunications network which now monitors more than 125,000 commercial and residential premises across the UK and Ireland. The secondary buyout, backed by Bowmark Capital with mezzanine finance provided by Octopus Intermediate Capital, will support CSL’s expansion plans into existing and new markets. The transaction also provided an exit for Octopus Ventures who backed the original 2006 MBO. Baker Tilly first met the business when invited to tender as part of the firm’s structured Private Equity Relationship Programme. Having won a competitive process the team advised the shareholders throughout, managing multiple stakeholders to deliver a good result for Octopus Ventures whilst negotiating attractive management incentives going forward. The deal was concluded within five weeks of identifying Bowmark as the preferred partner and further strengthens Baker Tilly’s long standing credentials within the security sector. “ Baker Tilly handled the process with professionalism, the negotiations with intelligence and provided excellent advice throughout.
