Establishment, Authority & Purpose • Constituted and operated in accordance with WECC Bylaws Section 8.1 • Comprised of 3 representatives from each of the 5 Member Classes plus 3 additional international representatives • Meetings: 4 quarterly in-person, up to 5 telephonically • Advise Board on: • Any matters requested by Board; • Policy, business planning, and budgetary matters; and • Any other matters deemed appropriate 5

High Level Annual Objectives • Identifying and/or addressing reliability issues • Engagement: Class & Standing Committees • Multi-Class consensus or unanimity • Nominating Committee – director nominations & compensation • Evaluations – MAC & Board effectiveness • MAC Budget Subcommittee – evaluate & challenge Business Planning & Budget • Annual Reviews – assess & communicate impact of reliability reports • Strategic Planning – Reliability & technical workshops 7
