On January 10, 2019 the corporation had to be “reinstated” with the State of Florida. At the capacity interview, the representatives stated that the attorney who has been representing the corporation on a pro bono basis failed to timely file the requisite documents with the State of Florida resulting in the need for reinstatement. The application also contains multiple errors. For example, on page 65 there is a citation to § 1002.33(7)(d)2., Florida Statutes for the proposition that at least two public meetings per school year shall be in the school district operated by The School Board of Volusia County, Florida. The correct citation should be to § 1002.33(9)(p)3., Florida Statutes. On page 391, Bylaws Section 1.3 c. and d. there is a reference to “Chapter 228, Florida Statutes,” but there is no such current chapter in the Florida Statutes. On page 397, Section 6.1d.

On page 379, in the Form 1023, Section 2a of Part V both “Yes” and “No” are checked for the question of whether “any of your officers, directors, or trustees [are] related to each other through family or business relationships.” The form does not clarify which answer is correct or provide an explanation of any such relationship as required. The proposed Bylaws do not appear to be tailored to operating a charter. There are several provisions of the Bylaws that appear to have no applicability to charters. For example, Section 5.3 on page 395 states that “The Board of Directors may require any officer to give bond to the corporation (with sufficient surety and conditioned for the faithful performance of the duties of his office).” A similar requirement is identified in Sections 5.8 and 5.9 on page 396. Section 5.13 on page 397 provides for trustees to be elected “for the purpose of transferring to those trustees either money or property belonging to the corporation for the purpose of investing, safeguarding, or otherwise protecting those funds or property for a period of years designated in the trust documents.” Section 11.10 on page 401 provides that the “Board of Directors will have the powers and authority to lease, sell, assign, transfer, convey or otherwise dispose of the entire property of the corporation, irrespective of the effects thereof upon the continuance of the purposes of the corporation and the exercise of its franchise.”1 On the proposed “Board Member Annual Disclosure Statement,” the Board Members sign off that they will not “knowingly disclose confidential information gained by reason of information shared at a board meeting.” In situations on potential liability for the Board, the disclosure statement directs the Board Members to “talk to the board chair,” among others. The statements appear to conflict with governance in the sunshine under § 286.011, Florida Statutes. 1 The same provision, however, puts a caveat that “the corporation may not be dissolved except as provided by the laws of the State of Florida.” Concerns and Additional Questions Reference
