To react to the challenges arising from the transformation of industries, the emergence of micro e-commerce businesses, the increasing importance of stakeholders, aging society ,and environmental sustainability, amendments to the Company Act are considered to be necessary. Draft amendments include: ✖ Widen application of ‘Closely-Held Company Limited by Shares’ ✖ Loosen capital control ✖ Strengthen corporate governance: with more than half of total number of directors, a board meeting can be called. ✖ Protect shareholders’ rights: with shareholders holding more than 50% of shares, a general meeting can be called. ✖ In response to the digital generation: videoconferencing counts ✖ Attract foreign investment: no more certificates of recognition nor branch office registration ✖ And more... A ‘Steering Committee of Company Act Reform’ (公司法全盤修正修法委員 會) was set up in February 2016 by a few devoted scholars with more than 70 participants from different fields.
