Mission Social Enterprise Revolving Trust, SERT, was established by private sector to provide financial support in the form of investment to social enterprises in
necessary assistance such as consulting or networking with an aim of inspiring innovation and collaboration. SERT expects to see investee social enterprises make great profit then contribute back to SERT, and share the experiences with
Focus SERT focuses on SE in agricultural innovation, employment, community development/culture reservation, fair trade, environment protection, health care, education, technology innovation, green energy and inter-generationals. The trustor, Christina Sung, former chairwoman of the Taipei Financial Center Corp, which owns Taipei 101, has devoted to the development of social enterprise and to share her own experiences on entrepreneurship with social entrepreneurs. To react to the challenges arising from the transformation of industries, the emergence of micro e-commerce businesses, the increasing importance of stakeholders, aging society ,and environmental sustainability, amendments to the Company Act are considered to be necessary. Draft amendments include: ✖ Widen application of ‘Closely-Held Company Limited by Shares’ ✖ Loosen capital control ✖ Strengthen corporate governance: with more than half of total number of directors, a board meeting can be called. ✖ Protect shareholders’ rights: with shareholders holding more than 50% of shares, a general meeting can be called. ✖ In response to the digital generation: videoconferencing counts ✖ Attract foreign investment: no more certificates of recognition nor branch office registration ✖ And more... A ‘Steering Committee of Company Act Reform’ (公司法全盤修正修法委員 會) was set up in February 2016 by a few devoted scholars with more than 70 participants from different fields.

With a new chapter of ‘Profit with Purpose Business’, it helps investors and consumers more easily to identify a company with social impacts.
✖ Social purpose written in the constituent documents of the business. ✖ The duties of the directors and officers must include furthering the social impact purpose of the business and require them to have regard for stakeholder interests affected by the business. ✖ Minimum transparency: a report of the impact performance using a qualifying independent standard.
