CALL TO ORDER Patricia Byers, MD, President, called the Florida

Chapter of the American College of Surgeons

(Chapter) annual business meeting to order at

5:32 PM EST.

SECRETARY’S REPORT John Armstrong, MD, Secretary, presented the

12

minutes of the 2017 Annual Business Meeting. A

13

motion was made to approve the 2017 Annual

14

Business Meeting minutes.

MOTION 18-04-01 MOTION ADOPTED TO APPROVE THE 2017

ANNUAL BUSINESS MEETING MINUTES.

TREASURER’S REPORT Deepak Nair, MD, Treasurer, presented the

20

Treasurer’s report. Dr. Nair reported that the

21

Chapter had $147,348.42 in checking as of April

22

4, 2018 and the majority of the expenses for the

23

annual meeting remain outstanding.

BYLAWS UPDATE Patricia Byers, MD presented the proposed

26

Bylaws updates from the Bylaws Review

27

  • Committee. Dr. Byers reported that the Bylaws

28

Review Committee sought to ensure currency,

29

consistency with ACS policy, and legal accuracy

30

in its review. A motion was made to adopt the

31

proposed bylaws. A motion to amend Article IV,

32

Section for of the proposed bylaws:

Section 4—Role, Election and Term of

35

Office of the Councilors. Four

36

Councilors shall serve as elected liaisons

37

between the College Committee on

38

Applicants regions and the Chapter.

39

There shall be one Councilor per College

40

Committee on Applicants region within

41

the College-determined boundaries of

42

the Florida Chapter and who lives in that

43

  • region. There shall be two at-large

44

Councilors of the Florida Chapter

45

without geographic contingency. At the

46

annual meeting, a Councilor may be

47

elected for up to a three-year term by a

48

majority of the members voting at the

49

2 annual meeting. Among the six

Councilors, the initial terms shall be

51

staggered, two for one year, two for two

52

years, and two for three years. A term

53

shall be by length, not by name. A

Councilor may serve no more than six

years total as Councilor and may not

serve concurrently as a Governor.

Councilors shall be recommended by the

58

Chapter for membership on their

59

respective local Committees

  • Applicants. As members of the

Committees on Applicants in their

respective regions, Councilors shall

participate in the interview process of

prospective Fellows. A Councilor serving

before the adoption of these bylaws may
