The Council of Governors

  • There are 26 Governors on the Council of Governors
  • It meets 4 – 5 times a year and chaired by Gillian Norton the Trust

Chairman

  • There are 15 publicly elected Governors, 4 elected staff Governors and 7

appointed Governors from stakeholder organisations.

  • Governors are invited to attend both public and private parts of Board

Meetings and Board Sub-Committee Meetings as Observers.

  • The Executive Directors and Non-Executive Directors attend the Council
  • f Governor meetings as required.

The statutory responsibilities of the Council of Governors (including additional duties and powers set out in the Health and Social Care Act 2012) are to:

  • Appoint or remove the Chairman and Non-Executive Directors;
  • Approve the appointment (by the Non-Executive Directors) of the Chief

Executive Officer;

  • Appoint or remove the Trust’s External Auditor;
  • Set the remuneration and allowances, and other terms and conditions of

the office of the Chairman and Non-Executive Directors;

  • Receive the Annual Accounts, Auditor’s Report and Annual Report;
  • Bring their perspective in determining the strategic direction of the NHS

Foundation Trust; and Convene the Annual Members’ Meeting.

  • A duty for the Council of Governors to hold the Non-Executive Directors

individually and collectively to account for the performance of the Board

  • f Directors;
  • A duty to represent the interests of the Members of the Trust as a whole

and the interests of the public;

  • A duty to approve any merger, acquisition, separation or dissolution and

the entering into any significant transactions;

  • A duty to approve any proposed increases in private income of 5% or

more in any financial year; and,

  • A duty to approve any amendments to the Trust’s Constitution.

Members self nominate by completing and submitting a nomination form online or by post. This needs to be completed with a 250 word statement, a headshot photo and signed before returning by email or post to Electoral Reform Services. Only members living in your constituency can vote for you

part of your constituency. The closing date is 11 December 2019 by 17:00 deadline.
