COMPETITION

On the face of it, this would seem like a reasonable question based on the assumption that there is an inherent value in the business model.

what happens if smartphone service providers (telco) decide to compete with ALOHA and provide this service themselves?

Aloha does not compete with Telcos. On the contrary we support them. We provide a service that allows Smartphone users to monetise their unused data, this could result in those customers wanting / desiring / needing to purchase more from their Telco. The Telco has already sold the data to the customer. Any effort made by the Smartphone service provider to manipulate this data will incur a level of cost and complexity to the Telco which is not desirable.

REVENUE GENERATION

Advertising Revenue

As Hotspot Hosts download our App and setup their account, we consensually capture certain information about their smart devices. Some will be lifestyle based, which will be useful to our advertising partners to create focussed messages. We will have the ability and permission (GDPR compliant) to communicate with our Hotspot Hosts directly to their smart devices via push message (90% read rate), SMS, email or social media. Our advertising partners have committed to paying us £6.50 ($8.25) per active Hotspot Host per annum, in exchange for having the rights to broadcast to our subscriber base. Lead time from Hotspot Hosts downloading the app, to us receiving the first payments from our advertising partners is 60 days.

Page 15
slide-16
SLIDE 16

REVENUE GENERATION

Affiliate Marketing Commission

We will pay each Hotspot Host a number of loyalty tokens with a value ranging from £20 ($25)to £40 ($50) each month, depending upon how often they use the sharing app and how many advertising messages they read. We want the Hotspot Hosts to spend the tokens on a daily basis and get the benefit from

  • them. To those ends the Hotspot Host will be able to “Go Shopping” from our portal.

They can choose to spend their tokens with a myriad of affiliate partners such as Amazon, Booking.com, ASOS, SkyScanner, and any other online retailer that

  • perates affiliate programs. Commission paid to us for affiliate partners range

from 5% to 30%.

Page 16
slide-17
SLIDE 17

REVENUE GENERATION

Transactional Commissions

In order to spend the tokens each Hotspot Host need to perform an action on our portal. If they elect to exchange for Bitcoin, then our system will seamlessly convert the tokens into BTC which they can then trade or even convert to cash and send to their bank account. We will charge a small fee for performing the task. Alternatively, Aloha tokens can be converted to GBP and then loaded to a digital debit card for spending in our shopping mall with one of our affiliate partners. Whether the Hotspot Host elects to trade for Bitcoin or send credit to their Aloha credit card, we will make a small fee for each transaction. Hotspot Hosts may elect to send tokens to one another (rather like gift vouchers), no charges apply for this transaction. Page 17

FINANCIAL INFORMATION

The company has compiled a detailed three year financial model, from which the following information has been extracted. The directors believe that this forecast represents a conservative position, and fully expect that these numbers can be bettered. The company is currently raising up to £750k ($975k) against a value of £5.8m ($7.5m). This level of investment will take the company through formal launch and to revenue generation. It is anticipated that there will be another placing closer to the IPO of circa £500k ($650k), however it is also anticipated that this will be raised against a significantly higher valuation and dilution will therefore be minimised. TAX EFFICIENT INVESTMENTS

EIS (Enterprise Investments Scheme) OPP Systems Limited is an EIS qualifying investment, The company has received advance assurance from HMRC confirming that the company is eligible under section 204(1) of the income Tax Act (ITA) 2007 to issue compliance certificates relating to issuance of ordinary shares.

"When you make an EIS qualifying investment, you can claim tax relief of 30% of your income tax bill in the year that you invest. You’ll pay no capital gains tax on any profits you make from an EIS investment. For example if you invest £10,000 and three years later you sell your shares for £50,000, you’ll get the full benefit of the £40,000 profit. If on the other hand you make a loss on your investment, you can offset that loss against income tax. If you want to offset your loss against other capital gains in the normal way, you can do this instead. There is also no inheritance tax to pay on shares bought through EIS. To be eligible for EIS reliefs, you generally have to hold the shares for at least 3 years before selling them."

HOW IT WORKS - IN GREATER DETAIL

The app is FREE and can be downloaded from Play/App store, our website or affiliate websites. The mobile hotspot function
  • n the Hotspot Host’s smart device and “ALOHA OPEN Wi-Fi” will be made available to people in the vicinity. The system is
totally secure for both the Hotspot Host and the guest user.
  • The Hotspot Host can earn extra tokens by reading messages from our advertising partners, by sharing our
social posts and by joining our referral program.
  • The app allows the Hotspot Host to decide when, for how long and how often to actvate the app and share data
with us and:
  • S
ee how many loyalty tokens they are earning
  • Tr
ack their balance of tokens
  • Ex
change ALOHA tokens into USD, GBP or Euros
  • Exchange ALOHA in to Bitcoin
  • Tr
ansfer balance to Aloha Credit Card
  • Spend tokens with affiliate retail partners via on-line shopping mall
  • Using the aloha token with a credit card or via affiliate retail partners allows for
cash back – a certain amount of additional rewards will be given to users who spend the Aloha token
  • Due to the Aloha smart contract methodology, we are able to allow users to decide how many
sponsors’ messages they’d like to view. This will get reflected in the smart contract once the user has pre-selected this information. This can be changed an unlimited number of times, and automatically reflected in the smart contract Page 26

SECURITY, BLOCKCHAIN & SMART CONTRACTS

“THE SYSTEM IS TOTALLY SECURE FOR BOTH THE HOTSPOT HOST AND GUEST USER”

“Aloha has been certified as secure thanks to vigorous penetration tests and code revision to avoid possible hacking or bugs. Both the infrastructure and the application part of the project are considered safe, and are tested on an ongoing basis”

Jorge Rodruiguez Head of Aloha Security

Aloha’s product applications are based on blockchain and utilise smart contract functionality, Aloha Dashboard is a single window interface by which users / HotSpot hosts can see their earned tokens, their referral tokens and their user activity. Stellar was chosen due to it being the leading blockchain protocol for infrastructures based on payments. Our smart contracts are simple, yet robust - allowing for nearly 4,000 transactions per second, and real-time tracking of token spends, self-execution of payments, and immediate reconciliation. In addition, referral programs, viewing sponsored advertisements or sharing posts, Hotspot Hosts can earn Aloha tokens which are credited to their user wallet automatically by this smart contract mechanism. ONLINE SHOPPING MALL

Online Shopping Mall Features: Quick exchange - allows our customers to quickly change Aloha in to BTC via our mini exchange. Trade Aloha - allows them to trade tokens via API access to our partners exchange platforms. if we have more then one exchange platform the user will click on the icon of their preferred platform.

VIEW LOCAL OFFERS When a local business sends a offer voucher the recipient (Hotspot Host) will receive a push message telling them that a special offer voucher is waiting for them in their dashboard. The Hotspot Host goes to the View Local Offers button to see the library of vouchers currently available to him. He can download those vouchers in order to redeem them for a payment in Aloha tokens. GO SHOPPING This is where the Hotpsot Host will go shopping via our online mall. They will be able to search by product, category or preferred retailer, also suggest retailers and / or products to us. The hotspot user can make payment using the embedded Aloha credit card or with a different card. BUY MORE ALOHA This is where the Hotpsot Host can top up their token balance. There are only 2 reasons why they would buy more tokens:
  • To top up their balance to add to their credit card to go shopping on line
  • To top up their balance to make purchases form local Aloha Business Users
They will have the option of leaving the tokens in their Aloha locker or add those tokens to their embedded Aloha credit card, (this means that we convert the Aloha into USD in the background). Page 28

APP AND SMARTPHONE SECURITY

The Aloha App has been designed with security as the absolute highest priority. The system works by creating new and independent Wi-Fi networks, that enables approved Aloha guest users (Wi-Fi Guests) to utilise the data that the host has decided to share, to surf the web, check their emails etc. The app has been accepted by Google and is now featured in the Google PlayStore. The handset manufacturers built in security prevents any access to the Hotspot Hosts phone / device or any of the information stored on it.

THE ALOHA LOYALTY TOKEN

Each of the transactions carried out between Aloha, the Hotspot Host, affiliate partners and advertisers will be conducted using smart contracts and blockchain technology. Our stellar smart contracting infrastructure allows for the immediate self-execution of rewards payments, allowing

  • ur users to instantly make use of their Aloha tokens once they’ve earned them.

Hotspot Hosts sharing bandwidth

Our agreement with Hosts covers a specific activity. When a Hotspot Host activates our mobile app for 10 minutes per day a daily reward fee is generated. We provision the reward via blockchain, once the activity is completed the smart contract is fulfilled and payment automatically made in to the Hotspot Hosts account.

Hotspot Host viewing advertising

Hotspot Hosts are also rewarded for viewing push messages from advertisers, and elect how many, and what type of messages they would like to view. As the Hotspot views the agreed messages so the smart contract is fulfilled and payment made to the Host. The advertiser is therefore aware
  • f when and how often their messages are viewed.

Meaning, that tokens will be entering the ecosystem 2x as much as they are leaving! Tokens Allocated to investors and founders: We will be selling 2.375m tokens to investors (to raise $950k), and reserving 50m tokens for founders and internal individuals that will be disbursed over time.
