Transition Award - Principle o The TSA is calculated by taking a pre-determined percentage of an employees target bonus and multiplied by four. o This value is then converted to conditional shares. o 25% of the award vests annually over the following four years subject to performance. o The vest is conditional on the employee investing the same pre- determined percentage of bonus into MCIP each of the four years. 19

Why we created the TSA o Bridge the vesting gap. o Align employee Total Annual Reward. o Align employees to Unilever performance immediately. o Integration between Unilever and newly acquired companies. o Link short term performance and reward with longer term “skin in the game”.
