slide-19
SLIDE 19

Transition Award - Principle

  • The TSA is calculated by taking a

pre-determined percentage of an employees target bonus and multiplied by four.

  • This value is then converted to

conditional shares.

  • 25% of the award vests annually
  • ver the following four years

subject to performance.

  • The vest is conditional on the

employee investing the same pre- determined percentage of bonus into MCIP each of the four years.

19

slide-20
SLIDE 20

Why we created the TSA

  • Bridge the vesting gap.
  • Align employee Total Annual Reward.
  • Align employees to Unilever performance

immediately.

  • Integration between Unilever and newly

acquired companies.

  • Link short term performance and reward with

longer term “skin in the game”.

20

  • Reduced risk / reduce cost.
  • Simplification.
  • Aligning performance form the outset, between

current employees and Unilever.

  • No longer “money for old rope”.
  • Reduced number of awards to administer.
  • Reduced administration.
  • Owners mentality.
