  23. Motion to Amend Articles of Incorporation Presenter: ● Jane Niemeier 23

Motion The AAUW California Board of Directors moves to amend the Articles of Incorporation of AAUW California by deleting the current Article 4: Charitable Organizations and Article 5: Charitable Dedication of Assets and replacing with a new Article 4: Tax Exempt Status and Article 5: Dissolution. This motion corrects a clerical error that occurred when the Articles were refiled in November 2019. This motion brings the Articles into alignment with the tax designation of the Corporation with the Internal Revenue Service (IRS) as a 501(c)(4) entity. 24

  27. ● Hosted three AAUW Fund luncheons with over 300 members attending and posted three videos on the California website ● Scheduled 19 of the 32 Fellowship and Grant recipients studying in California to speak at AAUW Fund the three luncheons and many more spoke at branch and IBC events ● Contributed $500,717.80 to AAUW Fund through generosity of California branches and individual members 27

  28. ● Helped Newport-Mesa-Irvine explore merging with another branch ● Answered a variety of questions from members and branches, including Branch liability issues and ways to recruit new Support members ● Encouraged branches to use Shape the Future 28

  29. ● Compiled and posted on state website a roster of California branch presidents, branch C/U chairs, campus partners and C/U representatives with names and contact College/ information University ● Completed a conference call, which focused on successes, among branch C/U chairs ● Supported branch members to increase number of branch C/U chairs from 40 to 83 29

  30. ● Improved the Board to Board (B2B) format to better highlight information that branch leaders need to act on ● Restored the Technology Peer Group and conducted several demonstration sessions Communications including the use of Zoom for 79% of branch leaders ● Designed tools for other committees to use to reach their goals, such as the member participation tracking spreadsheet 30

  31. ● Oversaw a smooth transition from the former CFO to the new CFO ● Minimized the financial costs to AAUW California by handling the rental Finance agreement for the office ● Supported and educated individual branch finance officers including creation of a Convention workshop 31

  38. ● Worked to strengthen branches’ ability to increase AAUW public policy efforts ● Worked with AAUW Legal Advocate to assess proposed legislation for 2020 and Public identified 24 bills to be supported by Policy AAUW California ● Developed plans and secured presenters for plenaries, workshops, and keynote speeches for Convention 38

  39. ● Promoted Speech Trek through Board- to-Board and other publications, which resulted in new branches participating in Speech Trek Speech ● Updated all materials in the Branch Trek Toolkit and the Student Toolkit and on the website ● Secured new funding for Speech Trek beginning in 2021, ensuring its existence in the future 39

  40. ● Spearheaded new campus research efforts to replace UC Irvine ● Created Build-a-Bench for Camp- Directors-in -Training and recruited three Tech Trek new people ● Centralized camp website management with AAUW California webteam to aid in communicating timely information with increased oversight 40
