  2. Resolution 1 – SIGBI Articles Why do the SIGBI Articles need amending? Minor amendments to the SIGBI Articles are required as a result of the proposed introduction of a smaller Board and a general tidying up exercise. The rationale behind each proposed amendment may be found in Appendix A to Resolution 1. Any questions you may have may be raised at the teleconferences organised for 30 May 2019 and 27 June 2019. You may also contact any Director or SIGBI HQ with any queries.

  3. Resolution 2 – SIGBI Byelaws The SIGBI Byelaws form part of the governing documents of SIGBI. The Articles cover SIGBI Limited’s legal obligations as a company limited by guarantee with charitable status. The Byelaws set out the operational aspects of SIGBI Limited – what, how and why processes are undertaken. All proposed amendments to the Byelaws may be found in Resolution 2, Appendix A. Any questions you may have on Resolution 2 should be forwarded to SIGBI HQ or you are welcome to participate in the planned teleconferences.

  4. Resolution 3 – SIGBI Byelaws, Clause 8.1 Why is this a separate resolution and not included in Resolution 2? It was felt that this Clause was of sufficient importance to be included as a separate, standalone resolution. This Resolution sets out the proposed Board Structure made up of the President, President Elect, Director of Finance/Governance, Director of Membership, Director of Programme and Director of PR and Marketing. Bye-law 8.1 states that the Board shall be comprised of Directors, as determined by SIGBI Members at a General Meeting. Resolution 3 therefore complies with this Bye-law, which empowers the Members (Clubs) to approve the Board structure. If approved, the new Board structure will come into effect in October 2020.

  5. Resolution 4 – SIGBI Region/NA/Network/Country Constitution The changes to the Region/NA/Network/Country Constitution reflect the proposed new management structure for Regions and NAs. The structure is aimed at providing flexible management structures for those Regions and NAs who wish to adopt it. This is in line with the flexible management system introduced for Clubs some time ago. Additional office holders may be appointed where the Regions, NAs, Networks and Countries so wish. Further additional Clauses are related to the under-performance, removal and appeal of Region, NA and Network post holders. A list of amendments to the Region/NA/Network/Country Constitution are attached as Appendix A to Resolution 4.

  6. Resolution 5 – SIGBI Club Constitution The SIGBI Club Constitution has been amended in line with the proposed changes to the SIGBI Articles, Byelaws and Region, NA, Network and Country Constitution. Clauses have also been amended for clarification purposes. A list of amendments to the SIGBI Club Constitution may be found in Appendix A to Resolution 5.

  7. Resolution 6 – Membership Fee Annual UK Inflationary Increase The purpose of this Resolution is to ensure that membership fees keep pace with inflation, as costs do, to prevent the need for a large increase in fees in the future. Inflationary increases will be based on the UK Consumer Price Index (CPI) as at 30 September each year, and in line with UK Pensions. Please note, subject to this Resolution being carried on 25 October 2019, the CPI as at 30 November 2019 will be used for this year only. 4% is the absolute maximum of any increase. For example, if the CPI inflation rate is 7%, the membership fee increase will be 4%. If the CPI inflation rate is 0%, no increase will be applied.
