Addendum No. 5

Addendum no. 5 is issued for inclusion into the tender documents. Please note the following amendments to the documents:

1. Volume 1 - Tender Requirements

1.1. In Part I, ITB, replace Clause 7.2 with the attached hereto as Annex A. 1.2. In Part II (Threshold Requirements), amend Clause 3.3 as follows: "Authenticated copies of the Bidder and any legal entity participating in the Bid (including a Member, Related Entity, Parent Company, and Major Sub-Contractor) certificate of incorporation and minutes of incorporation, or an equivalent thereof testifying the incorporation of the legal entity in accordance with the law applicable to it (under cover of Bidding Form Attachments C1, D1, E1 and F1 as applicable) and declaration of Non-Payment of Commission (Bidding Form Attachments C2, D2, E2 and F2 as applicable). Legal entities which are foreign companies and are registered in Israel shall also attach their certificate of registration as a foreign company in Israel (under cover of Bidding Form Attachments C3, D3, E3 and F3 as applicable). " 1.3. In Part II (Threshold Requirements), replace the Bidding Form which is titled "Major Sub-contractor's Undertaking" with the version attached hereto as Annex B (replacing the form number C2 with the number F2 in its title". 1.4. In Part II (Threshold Requirements), replace Bidding Form B1 with the version attached hereto as Annex C.

1.5. In Part III, Bidding Forms & Price Proposal, Envelope 2 – Price Proposal – FIN 1 – Price Proposal Instructions, item 1: Construction Price Items (TCP), I. Civil, Fit Out and Architectural Works, delete item: iv. Civils Works at Intersections (and re- number accordingly). 1.6. In Part III, Bidding Forms & Price Proposal, Envelope 2 – Price Proposal – FIN 1 – Price Proposal Instructions, item 3: Provisional Sums, add “D. Civils Works at Intersections” 1.7. In Part III, Bidding Forms & Price Proposal, replace Appendix 1 Price Proposal Excel Datasheets with the attached hereto as Annex D.

2. Volume 2 – Construction Agreement

2.1. In Clause 7.21.3 amend as follows: The Employer may, at any time and following written notification, demand that the Contractor replace the Contractor’s Representative or any key personnel listed in Volume 3 Chapter 7, provided such right shall not be used unreasonably. The Contractor then arranges that, after one Business day, the employee has no further connection with the work included in this Agreement. Accordingly, the Contractor undertakes to substitute, upon the Employer’s request, the Contractor’s Representative or key personnel with an employee who is sufficiently skilled and qualified for the position, as specified above or as required by Volume 3, within 10 Business days of the Employer’s notification, subject to the Employer’s approval. 2.2. In Clause 22.1 add the following after the first paragraph: The Engineer may instruct that additional payments or deductions shall be implemented by:

  • i. adjustment of the TCP and the Payment Milestones under Annex 6;
  • ii. definition of new payment milestones as may be applicable to the additional

payments, and/or

  • iii. in respect of deductions, deduction from any sums due to the Contractor,

including from sums due as additional payment.

2.3. In Clause 12A.1 add the following new part iv.:

  • iv. In relation to Civil Works at Intersections by no later than 6 months prior to the

relevant Access Date for each Intersection. 2.4. In Clause 12A.4 add the following new part iv.:

  • iv. Civil Works at Intersections: upon the completion of the relevant works at an

Intersection.

3. Volume 2A – Maintenance Agreement

3.1. Add a new Clause 7.8.3: The Employer may, at any time and following written notification, demand that the Contractor replace the Contractor’s Maintenance Manager or any of the key personnel whose position is identified in the Maintenance Services Management Plan, provided such right shall not be used unreasonably. The Contractor then arranges that, after one Business day, the employee has no further connection with the work included in this Maintenance Agreement. Accordingly, the Contractor undertakes to substitute the Contractor’s Maintenance Manager or key person with an employee who is sufficiently skilled and experienced for the position, as required by Volume 3A, within 10 Business days of the Employer’s notification, subject to the Employer’s approval. The Contractor shall require the prior approval by way of issuance of a Statement

  • f No Objection (SONO) of the Engineer before the replacement of any of the key

personnel nominated in the Maintenance Services Management Plan, or any of their replacements, provided that such (SONO) of a replacement shall not be unreasonably withheld.

4. Volume 3 – Employer’s General Requirements (Construction Agreement)

4.1. In Volume 3, Part VIII, Chapter 7 – Management of the Works replace Table 1.3 with the attached hereto as Annex E. 4.2. 4.8. In Volume 3, Part VIII, Chapter 17 – Systems Integration Management Requirements add new sub 2.10, 2.11, 2.12, 2.13 and 2.14 as follows: 2.10 Configuration Manager The Configuration Manager shall be responsible for the establishment of configuration baselines and the operation of configuration management tools throughout the project life cycle for the Systems Scope of Works and for the overall Red Line Project. 2.11 RAM Manager Supporting the System Assurance Manager, the RAM Manager shall be responsible for the production of the RAM report at the end of each project stage, as well as leading the Contractor’s reporting to the Engineer at the regular RAM progress

  • meetings. The RAM manager shall be responsible for overseeing the RAM

activities as set out in section 4.9 of Volume 3, Part VIII Chapter 14 System Assurance Requirements for the Systems Scope of Works and for the overall Red Line Project. 2.12 Security Manager The Security Manager shall be responsible for the integration of the four systems delivering Red Line security, these being security systems, systems with dual use, control centers, and physical protection means. These systems are described in more detail in section 7 of Volume 3 Part VIII Chapter 24 Security Policy. 2.13 Quality Manager The Quality Manager shall monitor the conformity of the Systems Scope of Works, and for the overall Red Line Project as it relates to integrated test and commissioning. 2.14 Systems Engineer The Systems Engineer shall be responsible for systems engineering management throughout the project life cycle for the Systems Scope of Works and for integrating systems engineering aspects across the overall Red Line Project.

4.9. In Volume 3, Part VIII, Chapter 17 – Systems Integration Management Requirements Sub-Clause 6. Fire Life Safety amend as follows: Each underground station Fit Out Contractor shall be responsible for obtaining the Form 4 for each station within their respective scope of work from the Israel Fire

  • Authority. The Integrator shall then be responsible for the obtaining the overall Fire

and Life Safety certification prior to the O&M Contractor obtaining the Permit to

  • Operate. The Integrator shall manage the integration activities related to Fire and

Life Safety to achieve the objectives of Volume 4 Part XI Chapters 8.1 and 8.2 the Red Line Fire System Safety Plan. 4.10. In Volume 3, Part VIII, Chapter 33 – Document Control Sub-Clause 1.1 Introduction add the following at 18 and 19 and re-number the list accordingly:

4.11. In Volume 3, Part VIII, Chapter 33 – Document Control Sub-Clause 1.4 Document Control Systems amend b) as follows: Document submission protocol (ACONEX Bulk Upload, Work Flows) 4.12. In Volume 3, Part VIII, Chapter 33 – Document Control Sub-Clause 1.5 Documententation Control, paragraph 5, amend the second sentence as follows: “…the legible reproduction of any records to be produced provided to the Employer and the Engineer.”

5. Volume 3A - Employer's General Requirements (Maintenance Agreement)

5.1. In Volume 3A, Part VIII, Chapter 7 – Management of the Works amend Sub- Clause 1.4.2. Contractor’s Personnel as follows: The Contractor shall require the prior approval by way of issuance of a Statement

6. Volume 4 - Technical Specifications (Construction Agreement)

6.1. Volume 4, Part XI Chapter 7.1 - RL-1.SYS.24 Over Head Line Equipment (OHLE) add to the end of Sub-Clause 2.6 Diesel Generators: Four single generators shall supply the emergency load in the event of the loss of the 22 kV supply. The combined rating of the generators shall be capable of continuously supplying the combined load for all Stations in Shelter Mode without diversity. Two buildings will be constructed at the Depot by Other Contractors to accommodate the back-up diesel powered generators. Each building will accommodate two generators. Load sharing shall be provided during start up to limit the start-up current to an acceptable value determined by the Contractor. The generators shall start automatically in the event of loss of incoming 22 kV

  • power. The generators shall also be capable of being started locally or via SCADA

from the OCC and the SCC. The Contractor shall supply the fuel tank and fuel management system. The fuel tank shall have sufficient capacity to achieve the requirement of 3 days continuous

  • peration of all generators.

6.2. In Volume 4, Part XI – Particular Technical Specifications – Systems Chapter 13: Tunnel Ancillary Works Sub-Clause 1.1 General: in the second list delete 1. Portal Gates 6.3. In Volume 4, Part XI – Particular Technical Specifications – Systems Chapter 13: Tunnel Ancillary Works Sub-Clause 2.1 Second Phase of the Tunnel Civil Fit Out amend as follows: Emergency signage (supply and installation only) 6.4. In Volume 4, Part XI – Particular Technical Specifications – Systems Chapter 13: Tunnel Ancillary Works Sub-Clause 2.4 Escape Stairs in the first sentence amend as follows: The tunnel and portal emergency escape stairs outside of Stations will shall be designed, installed and fitted out by the Contractor. In Volume 4, Part XI – Particular Technical Specifications – Systems Chapter 13: Tunnel Ancillary Works Sub-Clause 3.2 Signage replace all text with: Design of signage will be carried out by the Employer and provided to the Contractor in accordance with Volume 2. The Contractor shall supply and install this signage. 6.6. In Volume 4, Part XI – Particular Technical Specifications – Systems Chapter 13: Tunnel Ancillary Works Sub-Clause 4 Mechanical Equipment: Correct the numbering in the sub-sections from 1.1, 1.2, 1.3 to 4.1, 4.2, 4.3 etc,. 6.7. In Volume 4, Part XI – Particular Technical Specifications – Systems Chapter 13: Tunnel Ancillary Works Sub-Clause 4.2 Pressurized Fire Water Main amend the first paragraph as follows: The Contractor shall provide a continuous pressurized fire water main in the tunnels and along the trainways in the Stations in accordance with NFP 130. The design of the fire main shall be provided by the Employer in accordance with Volume 2. 6.8. In Volume 4, Part XI – Particular Technical Specifications – Systems Chapter 13: Tunnel Ancillary Works Sub-Clause 4.2 Pressurized Fire Water Main amend the fifth paragraph as follows: The Depot contractor shall be responsible for the segment of the fire main that runs from the Depot to the Portals. The Contractor shall closely coordinate its design and

implementation of the fire suppression water main in the underground sections with the Depot and Station designers and construction contractors. 6.9. In Volume 4, Part XI – Particular Technical Specifications – Systems Chapter 13: Tunnel Ancillary Works Sub-Clause 4.5 Drainage Pumps in Tunnels amend as follows: The Contractor shall provide drainage pump stations for the absolute low points in the Tunnels and at all three tunnel portals, and provide the discharge pipelines to the nearest Station. The Contractor shall design the pumps to maintain the tunnels free of water during periods of extreme rainfall. 6.10. In Volume 4, Part XI – Particular Technical Specifications – Systems Chapter 13: Tunnel Ancillary Works Sub-Clause 4.6 Escape Shaft Ventilation amend as follows: The Tunnel Ventilation contractor Contractor shall provide an overpressure ventilation system for the cross passages and escape shaft stairways. This shall be separate from the Tunnel Ventilation System. The overpressure ventilation system shall be designed in accordance with the requirements of NFPA 130 and shall be powered from the nearest Station essential services board. 6.11. In Volume 4, Part XI – Particular Technical Specifications – Systems Chapter 13: Tunnel Ancillary Works Sub-Clause 5. Other Fit Out Responsibilities: Delete sections 5.1, 5.2 and 5.3 and replace with “Not used”. 6.12. In Volume 4, Part XIII – Particular Technical Specifications – At Grade Chapter 5.1: Electricity Works Sub-Clause 1.7 Facilities Required add a new item:

  • 14. Design, supply and installation of modular flooring.

7. Volume 5 - Reference Data

7.1. Add Part XVII - Chapter 1.1 Red Line System Assurance Management Plan to Volume 5 - attached hereto as Annex F.
